Why was this product created?
  • The AADE recently conducted a survey of its membership to identify types of patient education material that would be of high interest to Diabetes Educators. Handouts on a CD-ROM was rated one of the top preferences. Primary reasons for its appeal were the flexibility in teaching, along with the low cost and renewable nature of this product. Also, the respondents requested a complete, up-to-date resource that would remain responsive to the evolving needs of the diabetes healthcare community.
What is included with this product?
  • Basic Skills for Self-Care includes 52 topics, 19 worksheets and 1 assessment sheet. There are a total of 121 pages covering 10 categories, plus a 7-page glossary.
  • The materials that comprise this product are: the CD-ROM, a complete set of professionally-printed handouts for your reference and the introductory pages (index, instructions for use, frequently asked questions, glossary and a user license agreement). All of the material is packaged in an attractive binder with dividers that allows you to organize the pages to suit your needs.
What content is covered on this CD-ROM?
  • Basic Skills for Self-Care reflects the AADE curriculum and covers the basic skills your patients will find essential for effective self-management. For the needs of educators, the 10 areas required for ADA recognition and diabetes education reimbursement are covered.
What makes the CONTENT of these handouts different from others?
  • The content of the handouts was developed in close coordination with AADE Members as well as the AADE Patient Education Review Committee. It reflects the very latest teaching guidelines and terminology.
  • Each handout is designed with two purposes in mind: first, to communicate its primary message in the most effective way possible and help the educator impart the basic skills necessary for self-care; secondly, to integrate with the other handouts. Consistent language and graphics draw attention to recurring themes throughout the library. The real advantage of this design is that the healthcare provider can re-arrange the material, mixing and matching it to best serve their teaching methods and the needs of their individual patients.

Who created this product?
  • This product was produced by Milner-Fenwick in cooperation with the American Association of Diabetes Educators. Milner-Fenwick has been a publishing partner of AADE since 1994 when they produced the first of a growing library of patient education videos. Milner-Fenwick has been creating high quality patient education videos for over 25 years and has publishing relationships with dozens of medical associations and healthcare organizations.
Will there be future volumes?
  • We plan to update and refine the topics of Basic Skills for Self-Care based on the needs and requests of the diabetes healthcare community.
  • We have identified topics for volumes Two and Three: Basic Skills for Daily Living and Problem Solving.
  • With this product, we look forward to establishing a relationship between Milner-Fenwick and the diabetes healthcare provider. Milner-Fenwick will be actively soliciting buyers’ experience and suggestions regarding this product so that we can continue to make it a more valuable tool for you in the future.
Will this CD run on an Apple® Macintosh® system?
  • At this time, it can be used only on a Windows® PC.
Can I install the CD-ROM on my hard drive?
  • No. The CD-ROM is copy protected and it is a violation of your user agreement to copy it.
  • The CD-ROM must be in the computer in order to work and print.
Can I save any of the pages as a file on my computer?
  • No. It is in violation of your user agreement to save any file, page or image from the CD.
Can I use the CD interface or the handout files on my computer network or website?
  • No. To use this product across a network would require written approval and may require an additional fee. Please contact Milner-Fenwick for a quote on your specific needs.
What other limitations of use apply to this product?
  • You can print as many copies as you like as long as the handouts are only distributed to, or used by, patients who are seeking medical care directly from you, the purchaser, or by the institution (single building location only) who is identified as the original purchaser. You can share this product with a colleague if they are in the same building of your facility.

What kind of printer should I use to print the handouts?
  • The handouts can be printed on most color or black and white laser or ink-jet printers.
Is there any way to speed up the printing time?
  • The high resolution and graphic nature of these pages take longer to print than text documents. However, minimizing or closing other open programs, including the handout interface, may help your system print faster. Also, you might be able to print faster and still get acceptable quality by selecting a lower quality, or draft, print setting to speed the process.
  • Once a page is loaded into memory, some printers will produce multiple copies of a page rather quickly.
Can I photocopy or Xerox® the printed or binder pages?
  • You can photocopy the pages, however, the best results are usually achieved by printing the handouts directly on your own printer. While we do not recommend photocopying, if you do photocopy from the reference pages, we suggest that you experiment with different settings for best results.
Can I personalize this product?
  • A blank space has been reserved in the upper right-hand corner of each handout to allow overprinting your organization’s name or logo.
  • Some printers also have features such as watermarking that allow you to include your name or logo as you print each handout.

Terms of Use for Handouts on CD-ROM

Use of this product is restricted to use on a single computer terminal. It may not be copied or shared in any fashion over any type of network or web site including but not limited to internet, intranet, LAN, or email. CD-ROM must be in the computer to use. Purchaser agrees that CD-ROM will only be used within the “single building” location that purchased the product and that all handouts will only be distributed to patients of the individual or institution purchasing the CD. END USER LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY: MILNER-FENWICK, INC. (“MILNER-FENWICK”) IS WILLING TO LICENSE THE LICENSED TECHNOLOGY TO YOU OR THE ENTITY FOR WHICH YOU ARE INSTALLING THIS SOFTWARE (“LICENSEE”) ONLY UPON THE CONDITION THAT LICENSEE ACCEPTS ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT (“AGREEMENT”). PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING, OPENING THE PACKAGE CONTAINING THE LICENSED TECHNOLOGY OR OTHERWISE USING THE LICENSED TECHNOLOGY. USING, INSTALLING OR OTHERWISE ACCESSING THE LICENSED TECHNOLOGY WILL INDICATE LICENSEE'S ASSENT TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. MILNER-FENWICK RESERVES THE RIGHT TO MODIFY THE TERMS OF THIS AGREEMENT AS A CONDITION OF PROVIDING AN UPGRADE AND/OR UPDATE. IF LICENSEE DOES NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, THEN MILNER-FENWICK IS UNWILLING TO LICENSE THE LICENSED TECHNOLOGY, AND ANY UPGRADE OR UPDATE TO LICENSEE.

THIS PRODUCT WAS PRODUCED BY MILNER-FENWICK IN COOPERATION WITH THE AMERICAN ASSOCIATION OF DIABETES EDUCATORS (“AADE”). THE AADE HAS REVIEWED THE EDUCATIONAL CONTENT BUT DOES NOT MAKE ANY CLAIMS TO THE ACCURACY OR SUITABILITY OF THE CONTENT FOR ANY USE OR PURPOSE NOR DOES IT APPROVE OR PROMOTE ANY SPECIFIC PRODUCTS FEATURED IN THIS PROGRAM. FURTHER, THE AADE ASSUMES NO RESPONSIBILITY FOR THE CONTENT OR THE LICENSED TECHNOLOGY USED IN THIS PRODUCT.

  1. Definitions
    • “Licensed Technology” shall mean the Software, Patient Content, Updates, Print Masters or Reference Masters, Upgrades and any related documentation provided to Licensee by Milner-Fenwick and related intellectual property rights.
    • “Patient Content” shall, collectively, mean: (1) the portion of the Software visible on a monitor viewed by a user of the Software operating the Software in accordance with the documentation (collectively, the “Digital Patient Content”), and (2) all text and images on screen and in the digital files, (3) tangible hard copies (collectively, the “Tangible Patient Content”) of the Digital Patient Content generated by a user of the Software through the print function available within the Software or direct or indirect copies of Print Masters provided to Licensee by Milner-Fenwick under this Agreement including, but not limited to, in the form of patient handouts and/or binders.
    • “Print Masters” means the physical copies of the masters of Tangible Patient Content provided to Licensee by Milner-Fenwick.
    • “Software” shall mean the software portion of the CD-ROM provided to Licensee pursuant to this Agreement.
    • “Update” shall mean any new version or release of the Software and/or related documentation which implements improvements, modifications and/or changes to the existing Software.
    • “Upgrade” shall mean any new version or release of the Software and/or related documentation which implements additional features or functions.
  2. Grant of License. During the term hereof, Milner-Fenwick grants to Licensee a non-exclusive, non-sublicenseable, non-transferable right and limited use license (i) to use and execute, from the original CD-ROM, the Licensed Technology, in executable code format, on a single computer at the facility designated in the Milner-Fenwick invoice (“Facility”); (ii) to permit access by Licensee's patients to the Digital Patient Content for each patient's immediate, personal and non-commercial use, (iii) to make and distribute to Licensee's patients treated at, or consulted with, the Facility a reasonable number of copies of Tangible Patient Content solely for each patient's immediate, personal and non-commercial use and (iv) to make copies of the Tangible Patient Content for internal business purposes provided such copies are commensurate with the number of patients seeking advice at the Facility that is similar in scope to the subject matter of the Licensed Technology.
  3. Restrictions. Any rights not expressly granted by Milner-Fenwick to Licensee are reserved by Milner-Fenwick, and all implied licenses are disclaimed. Except as otherwise stated herein, Licensee may not (i) publish, display, disclose, sell, rent, lease, modify, store, loan, distribute, or create compilations or derivative works of the Licensed Technology, or any part thereof; (ii) assign, sublicense, convey, transfer, pledge as security or otherwise encumber the rights and licenses granted hereunder; (iii) copy, reverse engineer, decompile, reverse compile, translate, adapt, or disassemble the Licensed Technology, or any part thereof, nor attempt to create the source code from the executable code of the Licensed Technology; (iv) merge the Licensed Technology with another program or modify the Licensed Technology in any manner whatsoever; (v) use the Licensed Technology over a network or distribute any portion of the Licensed Technology to other computers over a network; (vi) save, store or otherwise archive the Licensed Technology or any part thereof; (vii) use the Licensed Technology in any fashion that may infringe any patent, copyright, trademark, trade secret or other intellectual property rights of Milner-Fenwick, its third party suppliers or any other third party and (viii) distribute or make available any portion of the Licensed Technology through electronic mail. The Licensed Technology is licensed as a single integrated product to be executed from the original CD-ROM for use on a single computer within the Facility and it may not be separated for use on more than one computer. Licensee may not use a previous version of the Licensed Technology for which Licensee has acquired an Upgrade or Update, except for a period of ninety (90) days after Licensee receives the Upgrade or Update. At the end of the ninety (90) days, the original CD-ROM (with the exception of any CD-ROM which may contain a serial number, which should be retained as proof of ownership) must be physically destroyed or returned to Milner-Fenwick. Licensee may not cause, assist or permit any third party to do any of the foregoing.
  4. Ownership. Licensee acknowledges that Milner-Fenwick retains all right, title and interest in and to the Licensed Technology and any and all copyrights, trademarks, patents, trade secrets and other intellectual property rights therein. Licensee acquires no proprietary interest in the Licensed Technology or copies thereof. Rather, Licensee has a license to use the Licensed Technology as long as this Agreement remains in full force and effect. Except as set forth herein, any other use of the Licensed Technology by any other entity is strictly forbidden and is a violation of this Agreement. Licensee may not remove or obscure the copyright notice or other notices contained in the Licensed Technology.
  5. Warranty
    • 5.1 Licensee represents and warrants to Milner-Fenwick that Licensee is either: (i) an individual of at least eighteen (18) years of age or (ii) a duly authorized representative of an entity, including without limitation, a corporation, limited liability company, or partnership.
    • 5.2 Licensee acknowledges and agrees that the use of the Licensed Technology is at Licensee's sole risk. The Licensed Technology is provided to Licensee on an “AS IS” and “AS AVAILABLE” basis and without a warranty of any kind and, to the maximum extent permitted by law, MILNER-FENWICK AND ITS LICENSORS DISCLAIM ALL OTHER WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, INFRINGEMENT AND TITLE. MILNER-FENWICK AND ITS LICENSORS DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE LICENSED TECHNOLOGY WILL MEET ANY REQUIREMENTS OR NEEDS LICENSEE MAY HAVE, OR THAT THE LICENSED TECHNOLOGY WILL OPERATE ERROR FREE, OR IN AN UNINTERRUPTED FASHION, OR THAT ANY DEFECTS OR ERRORS IN THE LICENSED TECHNOLOGY WILL BE CORRECTED, OR THAT THE LICENSED PRODUCTS ARE COMPATIBLE WITH ANY PARTICULAR PLATFORM. SOME JURISDICTIONS DO NOT ALLOW THE WAIVER OR EXCLUSION OF SOME WARRANTIES SO THEY MAY NOT APPLY TO LICENSEE. IF THIS EXCLUSION IS HELD TO BE UNENFORCEABLE BY A COURT OF COMPETENT JURISDICTION, THEN ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES SHALL BE LIMITED IN DURATION TO A PERIOD OF THIRTY (30) DAYS FROM THE DATE OF THE LICENSE OF THE LICENSED TECHNOLOGY, AND NO WARRANTIES SHALL APPLY AFTER THAT PERIOD.
  6. Indemnification.
    • 6.1 Licensee shall indemnify, defend and hold harmless Milner-Fenwick and its directors, officers, employees and agents from and against any and all claims, losses, damages, liabilities, costs and expenses, including reasonable attorneys' fees, that arise out of, result from or are related to (i) a breach by Licensee of any warranty, representation or covenant set forth herein, (ii) Licensee's negligence or willful misconduct, (iii) any other claim resulting from or occasioned by the possession, use or operation of the Licensed Technology by Licensee, and (iv) any third party claim other than as set forth in Section 6.2.
    • 6.2 Milner-Fenwick shall indemnify, defend and hold harmless Licensee against claims, losses, damages, liabilities, costs and expenses, including reasonable attorneys' fees, to the extent that such claims arise out of the infringement by the Licensed Technology of any third party's United States patent issued prior to the invoice date, trademark, copyright, trade secret or other intellectual property rights, provided that Milner-Fenwick shall have no liability for any claim of infringement based on (a) a modification of the Licensed Technology made by a party other than by Milner-Fenwick; (b) use of the Licensed Technology in combination with products not supplied by Milner-Fenwick; (c) use of other than the most current version of the Licensed Technology; and (d) use of the Licensed Technology other than in compliance with the terms and conditions of this Agreement.
  7. Limitation of Liability. IN NO EVENT SHALL MILNER-FENWICK OR ITS LICENSORS BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, INDIRECT, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THIS AGREEMENT, THE USE OF OR INABILITY TO USE THE LICENSED TECHNOLOGY, OR FOR ANY CLAIM BY ANY OTHER PARTY, EVEN IF MILNER-FENWICK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MILNER-FENWICK'S AND ITS LICENSORS' AGGREGATE LIABILITY IN CONNECTION WITH THIS AGREEMENT AND THE LICENSED TECHNOLOGY, WHETHER IN CONTRACT OR TORT OR OTHERWISE, SHALL NOT EXCEED THE FEES PAID BY LICENSEE UNDER THIS AGREEMENT. BECAUSE SOME STATES/COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO LICENSEE.
  8. Disclaimer. THE LICENSED TECHNOLOGY IS PROVIDED TO LICENSEE AND LICENSEE'S PATIENTS SOLELY FOR INFORMATION PURPOSES AND IS NOT MEDICAL ADVICE AND IS NOT TO BE USED FOR PURPOSES OF DIAGNOSIS. MILNER-FENWICK IS NOT IN THE BUSINESS OF ACTING AS A MEDICAL PROFESSIONAL EITHER DIRECTLY OR INDIRECTLY IN ANY WAY. IF LICENSEE AND ITS PATIENTS DESIRE TO SEEK MEDICAL ADVICE THEY SHOULD CONSULT WITH A HEALTH- CARE PROVIDER OF THEIR CHOICE.
  9. No Endorsement. Neither Milner-Fenwick nor AADE endorses any particular product or brand which may be featured in the Licensed Technology. Such products or brands have been used for illustrative purposes only.
  10. Confidentiality. At all times during the term of this Agreement and at all times thereafter, Licensee shall keep confidential and not disclose, directly or indirectly, and shall not use for the benefit of Licensee or any other third party any Confidential Information of Milner-Fenwick. “Confidential Information” means any trade secrets or confidential or proprietary information whether in written, digital, oral or other form which is unique, confidential or proprietary to Milner-Fenwick, including, but not limited to, Licensed Technology and any other materials or information related to the business or activities of Milner-Fenwick which are not generally known to others engaged in similar businesses or activities. Milner-Fenwick's failure to mark any Confidential Information as confidential, proprietary or otherwise shall not affect its status as Confidential Information hereunder.
  11. Export Restrictions. This Agreement is expressly made subject to any applicable laws, regulations, orders, or other restrictions on the export of the technology or information about such Licensed Technology which may be imposed from time to time. Licensee shall not export the Licensed Technology or information about the Licensed Technology without complying with such laws, regulations, orders, or other restrictions. Licensee agrees to indemnify Milner-Fenwick against all claims, losses, damages, liabilities, costs and expenses, including reasonable attorneys' fees, to the extent such claims arise out of any breach of this Section 10.11.
  12. Audits. Milner-Fenwick shall have the right, at its own expense, upon reasonable prior notice to inspect and audit Licensee's records with respect to matters covered by this Agreement. If such inspection and audit reveals that Licensee has exceeded the scope of the license set forth herein, Licensee shall promptly pay Milner-Fenwick any and all applicable license fees, as calculated by using Milner-Fenwick's then current license fees, and Licensee shall reimburse Milner-Fenwick for the cost of such inspection and audit.
  13. Termination. This Agreement is effective until it is terminated. Licensee may terminate this Agreement at any time by destroying or returning to Milner-Fenwick all copies of the Licensed Technology in Licensee's possession or under Licensee's control. Licensee's right to use the Licensed Technology terminates automatically if Licensee violates any part of this Agreement. Upon notification of termination, Licensee agrees to destroy or return to Milner-Fenwick the Licensed Technology and any Milner-Fenwick Confidential Information and to certify in writing that it has complied with this Section 13. All provisions relating to proprietary rights shall survive the termination of this Agreement.
  14. Updates and Upgrades. Milner-Fenwick may offer this product on a subscription service to customers for an additional fee. If Licensee does subscribe to a Milner-Fenwick update subscription service (“Update Subscription Service”), Milner-Fenwick shall provide Licensee (a) with Updates to the Licensed Technology made commercially available by Milner-Fenwick, and (b) access to Upgrades made commercially available by Milner-Fenwick, which shall be available to Licensee at the then current fees for such Upgrades as established by Milner-Fenwick from time to time at its sole discretion. Milner-Fenwick, at its sole discretion, shall determine whether a modification, fix or any other change to the Licensed Technology shall be deemed an Update or an Upgrade. Notwithstanding anything to the contrary herein, Milner-Fenwick shall have no responsibility to update the Licensed Technology unless Licensee subscribes to the Update Subscription Service.
  15. General. This Agreement shall be construed, interpreted and governed by the laws of the State of Maryland, without regard to conflicts of laws principles and without application of the Maryland Uniform Computer Information Transactions Act and international laws. The exclusive forum for any disputes arising out of or relating to this Agreement shall be an appropriate federal or state court sitting in the State of Maryland. This Agreement along with any Milner-Fenwick invoice related to the license of the Licensed Technology shall constitute the entire Agreement between the parties hereto. If there is any conflict between the terms and conditions of this Agreement and the information on the Milner-Fenwick invoice, the terms and conditions of this Agreement shall control. This Agreement, the rights granted hereunder, the Licensed Technology shall not be assigned by Licensee without the prior written consent of Milner-Fenwick, which may be withheld at its sole discretion. Any waiver or modification of this Agreement shall only be effective if it is in writing and signed by both parties hereto. If any part of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall be interpreted so as to reasonably effect the intention of the parties. Milner-Fenwick is not bound by any provision of any purchase order, receipt, acceptance, confirmation, correspondence, or otherwise, unless Milner-Fenwick specifically agrees to the provision in writing.
